Welcome to Convert AI! These Terms and Conditions ("Terms") govern your access to and use of the AI-powered lead management services, voice agents, software platforms, and websites (collectively, the "Services") provided by SocialLabs LLC doing business as Convert AI ("Convert AI," "we," "us," or "our"). By accessing or using our Services, or by signing a Service Agreement, Order Form, or Statement of Work ("Service Document") that incorporates these Terms by reference, you ("Client," "you," or "your") agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

1. Definitions

"Agreement": Refers collectively to these Terms, any applicable Service Document signed by both Parties, and our Privacy Policy.

"AI System(s)": Means any artificial intelligence models, platforms, algorithms, software, or technologies developed, licensed, or utilized by Convert AI in providing the Services, including but not limited to AI voice agents, SMS and email automation systems, lead scoring algorithms, conversation AI, and appointment booking systems.

"AI Voice Agents": Convert AI's proprietary artificial intelligence-powered phone agents that automatically call, qualify, and book appointments with leads using natural conversation.

"Client Content": All data, information, customer lists, lead databases, contact information, call scripts, messaging templates, ad creatives, and other materials provided, uploaded, or made accessible by Client to Convert AI for the purpose of receiving the Services.

"Company IP": All intellectual property rights owned by or licensed to Convert AI, including but not limited to the AI Systems, AI Voice Agents, our platforms, software, proprietary methodologies, call scripts, message templates, industry-specific workflows, know-how, documentation, trademarks, service marks, and any pre-existing materials or tools used or developed by Convert AI.

"Core Services": Convert AI's primary AI-powered lead management services, including Speed-to-Lead AI System, AI Voice Agents for lead qualification and appointment booking, lead reactivation campaigns, and related automation services.

"Done-for-You Ads Service": Convert AI's optional add-on service for comprehensive digital advertising management across multiple platforms including Facebook, Instagram, Google Ads, LinkedIn, TikTok, and other agreed platforms. Services include ad creative creation, audience targeting, campaign setup and optimization, A/B testing, daily monitoring, landing page optimization recommendations, monthly performance analysis, and strategic consultation.

"Leads": Any prospective customer contact information, inquiries, or appointments generated, qualified, reactivated, or processed by Convert AI specifically for Client as a direct result of the Services.

"Services": The AI-powered lead management and related services to be provided by Convert AI to Client as described in the applicable Service Document, including but not limited to AI voice agents, speed-to-lead systems, lead reactivation campaigns, appointment booking automation, CRM integration, Done-for-You Ads Service (when selected), and ongoing optimization.

"Speed-to-Lead System": Convert AI's system designed to contact new leads within 60 seconds of lead generation through automated AI voice calls.

2. Provision and Use of Services

2.1. Scope of Services: Convert AI provides comprehensive AI-powered lead management services designed for businesses running digital advertising campaigns, with particular focus on home service contractors, including fencing, roofing, and renovation businesses, as described in the applicable Service Document.

2.2. Core Service Components: Unless otherwise specified, Core Services typically include:

  • Speed-to-Lead AI System: Sub-60 second automated AI voice calls to new leads

  • AI Voice Agents: Natural-sounding AI agents that qualify leads and book appointments directly into Client's calendar

  • Lead Reactivation Engine: Automated SMS, email, and voice re-engagement of existing lead databases

  • CRM Integration: Integration with Client's existing CRM or provision of CRM system

  • Calendar Booking System: Automated appointment scheduling system

  • Performance Dashboard: Real-time tracking and reporting of lead management metrics

  • Ongoing Optimization: Monthly performance review and system optimization

2.3. Add-On Services: Convert AI may offer additional services including:

  • Done-for-You Ads Service: Comprehensive digital advertising management including:

    • Creation and design of high-converting ad creatives (images, videos, copy)

    • Advanced audience targeting and demographic research

    • Campaign setup and optimization across Facebook, Instagram, Google Ads, LinkedIn, TikTok, and other platforms

    • A/B split testing of ad creatives, audiences, and messaging

    • Daily monitoring and bid optimization for maximum ROI

    • Landing page optimization recommendations

    • Monthly performance analysis, reporting, and strategic consultation

    • Integration with Core Services for seamless lead flow

  • Custom Integrations: Additional third-party system integrations as requested

  • Advanced Analytics: Enhanced reporting and analytics capabilities

2.4. AI Voice Agent Functionality: AI Voice Agents are designed to:

  • Sound natural and conversational

  • Follow Client's approved scripts and qualification criteria

  • Book qualified appointments directly into Client's calendar

  • Handle objections and follow-up sequences

  • Operate 24/7 without breaks or errors

  • Adapt conversations based on lead responses

2.5. Client Account: Client may need to register for an account to access certain Services. Client is responsible for maintaining the confidentiality of account credentials and for all activities that occur under its account.

2.6. Service Modifications: Convert AI reserves the right to modify, suspend, or discontinue any aspect of the Services at any time, with reasonable notice to Client where practicable, provided that such changes do not materially diminish the core AI lead management functionality for which Client has already paid.

2.7. Subcontractors: Convert AI may use subcontractors to perform some or all of the Services, provided Convert AI remains responsible for the performance of its obligations under the Agreement.

3. Client Obligations and Responsibilities

3.1. Lead Sources and Data Provision: Client will:

  • Provide Convert AI with access to lead sources (Facebook ads, landing pages, CRM systems)

  • Ensure proper integration setup for real-time lead notification

  • Provide existing lead databases for reactivation services

  • Supply necessary call scripts, qualification criteria, and appointment booking preferences

3.2. Cooperation and Access: Client will cooperate reasonably with Convert AI and provide timely access to:

  • Necessary Client Content and integration credentials

  • Personnel for training and onboarding sessions

  • Systems integration requirements (CRM, calendar, phone systems)

  • Performance feedback and optimization input

3.3. Compliance with Communication Laws: Client acknowledges that the Services involve voice calls, SMS, and email communications. Client represents and warrants that:

  • All leads were obtained with proper consent for marketing communications

  • Client has complied with TCPA, CAN-SPAM Act, GDPR, CCPA, CASL, and all applicable laws

  • Client will obtain necessary opt-in consents for voice calls and text messages

  • Client will honor all opt-out and do-not-call requests promptly

  • For Done-for-You Ads Service, Client has rights to use any provided creative materials

3.4. Call Script and Qualification Approval: Client will:

  • Review and approve all AI voice agent scripts before deployment

  • Provide clear qualification criteria for leads

  • Define appointment booking parameters and availability

  • Approve any changes to conversation flows or qualification processes

3.5. Acceptable Use: Client shall not (and shall not permit any third party to):

  • Use the Services for illegal, fraudulent, or deceptive purposes

  • Provide leads obtained through illegal means or without proper consent

  • Use AI Voice Agents to make calls to numbers on do-not-call registries without proper exemption

  • Interfere with or attempt to reverse engineer the AI Systems

  • Use the Services to compete with Convert AI or build competitive services

  • Violate any applicable laws related to telecommunications or marketing

3.6. Technical Requirements: Client is responsible for maintaining:

  • Reliable internet connectivity for system integrations

  • Compatible CRM and calendar systems (or acceptance of Convert AI's provided systems)

  • Phone system compatibility for call routing (if applicable)

4. Fees, Payment, and Performance Models

4.1. Fee Structures: Convert AI offers multiple pricing models as specified in the Service Document:

Option A - Full Ownership Model:

  • Setup fee: $6,000 (50% at start, 50% at delivery if requested)

  • Monthly retainer: $3,000

  • No revenue share

  • 6-month term with 3-month opt-out clause

Option B - Revenue Partnership Model:

  • Setup fee: $3,000

  • Monthly retainer: $1,500

  • Revenue share: 5% on new revenue from AI-booked leads

  • 6-month term with 3-month opt-out clause

Option C - Performance Model:

  • Setup fee: $1,500

  • Per-appointment fee: $100 for each qualified appointment that shows up

  • No monthly retainer

Add-On Services - Done-for-You Ads Service: Tiered pricing based on monthly ad spend:

  • $1,000 - $6,000 ad spend: $1,400/month (primary platform) + $690/month per additional platform

  • $6,001 - $11,000 ad spend: $1,700/month (primary platform) + $830/month per additional platform

  • $11,001 - $30,000 ad spend: $2,000/month (primary platform) + $980/month per additional platform

  • $30,001+ ad spend: 6% of ad spend (primary platform) + 3% of ad spend per additional platform

  • Minimum recommended ad spend: $1,000/month for optimal results

4.2. Payment Terms:

  • Setup fees are due upon signing of Service Document (or as specified for split payments)

  • Monthly retainers are due in advance on the first day of each month

  • Performance-based fees are due within 15 days of invoice

  • Revenue share payments are calculated monthly based on Client-reported revenue

  • All payments shall be made in U.S. Dollars

4.3. Profitability Guarantee: Convert AI provides a profitability guarantee where, if within the contract term Client does not generate at least the amount paid to Convert AI in revenue from AI-booked leads, Convert AI will work with Client for free until this threshold is met.

4.4. Performance Tracking: Fees and guarantees will be calculated based on:

  • Verified appointments that show up (for performance model)

  • Revenue generated from AI-booked leads (for revenue share and guarantees)

  • Tracking through agreed-upon measurement systems and Client reporting

4.5. Late Payments: Overdue undisputed fees may result in service suspension. Convert AI may suspend Services if undisputed fees are overdue by more than 15 days.

4.6. Taxes: Fees are exclusive of all applicable taxes, which Client is responsible for paying.

5. Performance Standards and Results

5.1. Service Level Expectations: Convert AI will use commercially reasonable efforts to:

  • Achieve sub-60 second response time for new leads during business hours

  • Maintain AI Voice Agent uptime of 99% during scheduled operating hours

  • Provide accurate appointment booking and calendar integration

  • Deliver monthly performance reports and optimization recommendations

5.2. Profitability Guarantee: As specified in Service Documents, Convert AI may guarantee minimum profitability or results from the AI lead management Services.

5.3. No Universal Results Warranty: Except for specific guarantees in Service Documents, Convert AI makes no warranties regarding specific conversion rates, appointment show rates, or revenue outcomes, as these depend on factors including lead quality, Client's sales process, market conditions, pricing, and service delivery.

5.4. AI System Limitations: Client acknowledges that AI Voice Agents, while advanced, may have occasional limitations in complex conversation scenarios and that continuous optimization may be required for optimal performance.

6. Term and Termination

6.1. Term: The Agreement commences on the Effective Date and continues as specified in the Service Document. Standard terms are 6 months with 3-month opt-out clauses where applicable.

6.2. Termination Rights:

  • Either party may terminate for material uncured breach after 15 days written notice

  • Client may exercise opt-out clauses as specified in Service Documents

  • Either party may terminate immediately for fraud, bankruptcy, or illegal activities

6.3. Effect of Termination: Upon termination:

  • Client pays all outstanding fees for services rendered

  • Convert AI provides final performance reports and lead data export

  • Client retains ownership of all leads, contacts, and generated appointments

  • Each party returns or destroys confidential information

  • AI Voice Agent services cease immediately

6.4. Data Transition: Convert AI will provide Client with:

  • Complete lead database and interaction history

  • Performance reports and analytics data

  • Integration assistance for smooth transition (if requested)

  • 30-day data retention period for export purposes

7. Intellectual Property Rights

7.1. Company IP: Convert AI retains all rights to:

  • AI Voice Agent technology and algorithms

  • Proprietary conversation frameworks and optimization methodologies

  • Platform software and integrations

  • Generic industry templates and best practices

7.2. Client Ownership: Client owns and retains:

  • All lead data and contact information

  • Custom scripts and qualification criteria developed for Client

  • Appointments and sales generated through the Services

  • Any custom integrations or modifications created specifically for Client

7.3. Lead and Appointment Exclusivity: All leads contacted and appointments booked specifically for Client through the Services are Client's exclusive property. Convert AI will not use Client's leads for its own benefit or share them with competitors.

7.4. Developed Materials: Custom scripts, workflows, and configurations created specifically for Client become Client's property, subject to Convert AI's underlying rights in the AI technology platform.

8. Data Privacy and Security

8.1. Data Protection: Convert AI implements reasonable security measures to protect:

  • Client lead databases and contact information

  • Call recordings and conversation data

  • Performance analytics and business intelligence

  • Integration credentials and system access

8.2. Call Recording: AI Voice Agent calls may be recorded for quality assurance, training, and optimization purposes. Client consents to such recording and will ensure compliance with applicable call recording laws.

8.3. Communication Compliance: Convert AI will assist Client in maintaining compliance with TCPA, CAN-SPAM, and other applicable laws, but Client remains ultimately responsible for legal compliance and obtaining proper consents.

8.4. Data Processing Agreement: For clients subject to GDPR or similar data protection laws, a separate Data Processing Agreement will be executed.

9. Warranties and Disclaimers

9.1. Service Warranty: Convert AI warrants that it will perform Services professionally and that AI Voice Agents will function substantially as described in the Service Documentation.

9.2. System Availability: Convert AI warrants reasonable uptime and availability of AI systems, subject to scheduled maintenance and force majeure events.

9.3. Client Warranties: Client warrants that:

  • It owns or has rights to all provided lead data and content

  • All leads were obtained legally with appropriate communication consents

  • It will comply with all applicable telecommunications and marketing laws

  • Any provided creative materials for ads are owned or properly licensed

9.4. DISCLAIMERS:

  • AI VOICE AGENTS ARE PROVIDED "AS IS" AND MAY HAVE INHERENT LIMITATIONS

  • NO GUARANTEE OF SPECIFIC CONVERSION RATES OR BUSINESS OUTCOMES EXCEPT AS STATED IN SERVICE DOCUMENTS

  • CONVERT AI DISCLAIMS WARRANTIES OF MERCHANTABILITY AND FITNESS FOR PARTICULAR PURPOSE EXCEPT AS SPECIFICALLY PROVIDED

  • AI TECHNOLOGY CONTINUES TO EVOLVE AND PERFORMANCE MAY VARY

10. Limitation of Liability

10.1. No Indirect Damages: Neither party will be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, business opportunities, or data loss.

10.2. Liability Cap: Each party's total liability will not exceed the total fees paid or payable under the applicable Service Document in the 12 months preceding the claim.

10.3. Exceptions: Limitations do not apply to:

  • Indemnification obligations under Section 11

  • Breaches of confidentiality obligations

  • Client's payment obligations

  • Fraud, gross negligence, or willful misconduct

11. Indemnification

11.1. By Convert AI: Convert AI will defend Client against third-party claims that the Core Services infringe intellectual property rights, excluding claims arising from Client Content, modifications, or Client's use outside the scope of Services.

11.2. By Client: Client will defend Convert AI against claims arising from:

  • Client Content, lead data, or creative materials

  • Client's breach of communication compliance laws (TCPA, CAN-SPAM, etc.)

  • Client's use of Services in violation of this Agreement

  • Disputes between Client and its customers or leads

  • Claims related to Done-for-You Ads Service content provided by Client

12. General Provisions

12.1. Governing Law: This Agreement is governed by the laws of the State of Wyoming, USA.

12.2. Jurisdiction: Disputes will be resolved in state or federal courts in Wyoming.

12.3. Independent Contractors: The parties are independent contractors; no partnership or agency relationship is created.

12.4. Assignment: Neither party may assign this Agreement without written consent, except in connection with a merger or sale of substantially all assets.

12.5. Entire Agreement: This Agreement and all Service Documents constitute the entire agreement between the parties.

12.6. Amendment: Modifications must be in writing and signed by both parties.

12.7. Notices: All notices must be in writing to the addresses specified in the Service Document.

12.8. Severability: If any provision is unenforceable, the remainder remains in effect.

12.9. Force Majeure: Neither party is liable for delays due to circumstances beyond reasonable control.
